Terms of sale
1. Object and scope
These general terms and conditions of sale shall apply to all sales contracts relating to Prado Europe BV's products concluded between Prado Europe BV and the purchaser. By concluding a sales contract with Prado Europe BV, the purchaser declares that it is familiar with and has accepted the general terms and conditions of sale. These terms and conditions of sale apply to contracts for the sale of products (standard products or custom-made products), but also to contracts that include servicing or repairs. Any additional and/or different terms and conditions of the purchaser that have not been expressly accepted in writing by Prado Europe BV are hereby excluded.
2. Conclusion of the agreement
The information on the website or in the catalogue, brochures or quotations is provided without obligation. No rights may be derived from the information stated. An agreement shall be validly entered into through written acceptance by Prado Europe BV of the order placed by the purchaser. A quotation issued by Prado Europe BV shall apply only in the form of approximate information and shall not create any commitment on the part of Prado Europe BV. Prado Europe BV hereby reserves the right to suspend performance of the agreement and to request certificates of guarantee for the purchaser's proper performance thereof if it believes there are reasons to doubt the purchaser's creditworthiness. A contract shall only take effect after written confirmation of the order by Prado Europe BV. In the event of outstanding invoices, we shall reserve the right to deliver outstanding orders only after payment in advance for these orders and payment of the outstanding invoices.
3. Delivery period
The delivery periods stated by Prado Europe BV shall be purely indicative and shall not constitute an obligation of result on the part of Prado Europe BV. Late deliveries shall not give rise to a right on the part of the purchaser to cancel the order or to receive compensation, unless expressly agreed in writing. Under no circumstances shall Prado Europe BV be obliged to deliver on time in the event of a failure on the part of the purchaser to pay or to take delivery, for example, or in the event of force majeure, including a machine breakdown, strike, or lack of raw materials due to non-delivery by its own suppliers, etc. If, due to any circumstance beyond its control, Prado Europe BV is definitively unable to execute an accepted order, it may terminate the contract by ordinary notification, without any liability to pay compensation as a result.
4. Passing of risk
The risk relating to the goods shall be transferred to the purchaser as soon as the goods are separated on the premises of Prado Europe BV from other goods and/or are made available to the purchaser for collection, or are ready for transport to the purchaser. The goods shall always be transported at the purchaser's expense, unless expressly agreed otherwise in writing, and at all times, even in the case of carriage-paid delivery, at the purchaser's risk.
5. Complaints regarding the delivered goods
The purchaser must notify Prado Europe BV in writing immediately, and no later than 2 days after delivery, of any visible defects or non-conformity of the goods with the accepted order. After this period expires, the products shall be deemed to have been definitively accepted by the purchaser. Defects other than those that are visible must be reported in writing to Prado Europe BV within 7 days of their discovery. A response to a late complaint shall not imply a waiver of this provision. Any complaints regarding the transport must be addressed to the relevant transport company by means of a statement on the consignment note.
6. Price of the goods and shipping
Unless agreed otherwise, the prices calculated for the goods shall be ex works and packaged. All additional costs relating to transport, customs clearance and taxes shall be borne by the purchaser. If the latter costs are advanced by Prado Europe BV, they must be repaid immediately on request or at the latest upon physical delivery of the goods.
For standard orders placed through the webshop, the following shipping rates apply:
- Belgium: EUR 10.00, free on orders of EUR 500 and up. Delivery within 3 to 5 business days.
- Netherlands: EUR 25.00, free on orders of EUR 500 and up. Delivery within 3 to 5 business days.
- Other European countries: EUR 25.00. Delivery within 3 to 5 business days.
7. Payment
Payment for the products must be made within 30 calendar days of the invoice date at the registered office of Prado Europe BV. Prado Europe BV's agents, trade representatives and employees are not authorised to receive payments. In the event of non-payment within this period, the amounts due shall automatically and without any prior reminder attract interest of 12% per annum, from the day on which payment was due until the day of payment in full. Any amount remaining unpaid on the due date shall be increased, without prior notice of default and by operation of law, by a fixed amount of 12%, subject to a minimum of EUR 50 and a maximum of EUR 2,500, as reimbursement for Prado Europe BV's costs. This shall apply undiminished if Prado Europe BV grants grace periods to the purchaser. Under no circumstances may the purchaser invoke a complaint to suspend or delay its payments. The non-payment of a single invoice on its due date shall render the balance owed on all the other invoices immediately due and payable, even on those that are not yet due. All collection costs shall be borne by the purchaser. Any acceptance of bills of exchange shall not result in a novation of debt.
8. Return of goods
This article does not apply where a consumer exercises the right of withdrawal under Article 9.
Products can be returned within 30 days of delivery. Unopened, undamaged products in original packaging are refunded at 75% of the purchase price. Opened, undamaged products in original packaging are refunded at 50% of the purchase price. Damaged products, drivers and/or brass fittings are not accepted for return.
prado covers the cost of the return shipment. You can start a return through your account or by contacting us, and a prepaid return label is provided. You can optionally add a photo, a reason for the return, and confirm the packaging when submitting your request. Goods can be returned to: Prado Europe BV, Handelsstraat 19, 8630 Veurne.
9. Right of withdrawal for consumers
A consumer may withdraw from the contract within 14 days without giving any reason. The period runs from the day the consumer receives the goods, or the last item where the order is delivered in several consignments.
Where the consumer withdraws before the goods have been dispatched, no return is required and the full amount is refunded.
The consumer may withdraw online through the withdrawal function, which is available throughout the withdrawal period and does not require a customer account, or by any other unequivocal statement. Prado Europe BV acknowledges receipt without delay on a durable medium, stating the date and time of submission.
The goods must be returned within 14 days of the withdrawal. Prado Europe BV bears the return cost and provides a prepaid label.
Prado Europe BV refunds all payments received, including standard delivery costs, within 14 days of being informed of the withdrawal, using the same means of payment. Reimbursement may be withheld until the goods are received back or evidence of return is provided.
The consumer is liable for any diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods, including installation.
10. Retention of title clause
The goods sold shall remain the property of Prado Europe BV until payment in full of the principal sale price and ancillary sums. In the event of resale, Prado Europe BV shall retain the option to claim the sum corresponding to the value of the goods resold. The retention of title shall be transferred to the resale price. Once the goods have been delivered, the purchaser shall bear all risks, including cases of force majeure and destruction, and the storage costs. Any failure to pay one of the amounts due on the due date may result in the recovery of the goods.
11. Complaints regarding the invoice
Any complaints regarding invoices (or other documents) must be submitted in writing within 5 days of the invoice date (or date of the document). Here, too, a response to a late complaint shall not imply a waiver of this article.
12. Obligation on the part of the purchaser to take delivery
Delivery of the accepted orders must be taken within the agreed period or within 30 days if no period has been agreed. If the purchaser does not take delivery, Prado Europe BV shall be entitled either to compel the purchaser to take delivery or to cancel the sale in whole or in part, whereby the purchaser shall be liable to pay Prado Europe BV 35% of the sale price as a lump-sum compensation, without prejudice to Prado Europe BV's right to claim additional compensation if the actual loss suffered exceeds the loss estimated as a lump sum.
13. Liability of Prado Europe BV
Prado Europe BV cannot be held liable for any error or even gross error on its part or on the part of its employees, except for an intentional error. Under no circumstances may Prado Europe BV be held liable for any consequential damage such as loss of expected profits, decrease in turnover, increased operating costs or loss of clientele, which would be suffered by the purchaser, its employees or third parties as a result of any error or negligence on the part of Prado Europe BV or its employees in relation to this agreement. Prado Europe BV's liability shall in any case be limited to the obligation to replace the goods or to provide a refund for invoiced goods, at Prado Europe BV's discretion, to the exclusion of any additional compensation. Without prejudice to the application of the previous paragraphs of this article, Prado Europe BV's liability shall in any case be limited to EUR 25,000, except in the case of an intentional error.
14. Competent court and applicable law
Any disputes concerning the existence and performance of purchase contracts concluded with Prado Europe BV shall be the exclusive jurisdiction of the courts of Ghent or the courts at the domicile of the purchaser, at Prado Europe BV's discretion.
Belgian law shall apply.
Warranty policy
prado offers two separate warranties depending on the product you purchased: one for electrical outlets (rond product line) and one for professional lighting fixtures. The section that applies to your purchase is shown below.
Warranty on electrical outlets (rond product line)
Electrical outlets sold under the rond product line are covered by the statutory legal conformity warranty of 2 years from delivery, as required under EU Directive 2019/771 and the Belgian Code of Economic Law. This warranty covers any lack of conformity existing at the time of delivery that becomes apparent within the 2-year period.
The warranty applies to the original purchaser. Products must have been installed by a qualified electrician in accordance with the installation instructions, applicable local electrical codes, and the certifications under which the product is listed.
The warranty does not cover damage resulting from improper installation, misuse, modification, exposure to conditions outside the specified operating range, or normal wear.
To make a claim, contact prado at hello@prado.com with proof of purchase, a description of the defect, and the date of installation.
Warranty on professional lighting fixtures
This warranty applies exclusively to professional fixtures of the prado brand sold in Europe since 2020.
This document sets out the warranty policy of Prado Europe BV from whom you (hereinafter referred to as 'the purchaser') have bought professional ceiling solutions...
A. Warranty period
With due observance to the provisions set out in the terms and conditions of warranty, the purchaser has the right to warranty for the period of:
- 2 years for conventional products (non-LED)
- 3 years for the LED light source for devices with LED strips
- 5 years for the LED light source for devices with LED modules/lines
B. Special terms and conditions
The warranty period commences on the date of the invoice. The LED warranty period only applies to the LED module of the product and it is based on a burn time of a maximum of 4,000 hours per year. In the case of more than 4,000 hours per year, the warranty period is adjusted on a pro rata basis. This warranty policy only applies if the products have been properly fitted and are used in the operating conditions specified on the product information sheet. The purchaser is automatically entitled to this 'standard warranty'. On request, an 'extended warranty' or a 'customized project warranty' can be agreed after the specific operating conditions. The purchaser should not refer to other information or documentation. Devices without an integrated ballast are not covered by the warranty, unless the product is installed with power supplies purchased from Prado Europe BV. Both the product concerned and the relevant power supplies are provided on one and the same order.
C. Additional conditions (not exhaustive)
This warranty only applies to products sold in Europe. Other terms and conditions may apply in other regions. The products have been bought directly from a Prado Europe BV (sales) organization. There is proof of purchase for the products available for inspection by Prado Europe BV. Any installation and/or assembly work on the product is carried out by specialized technical staff in compliance with the instructions accompanying the product. Ambient temperature and voltage limit values are not exceeded and the product is not subjected to mechanical and thermal loads which do not comply with its intended use. The product is maintained by specialized technical staff in compliance with any instructions accompanying the product. The product shall not be changed or repaired either without the relevant written authorization or not in compliance with the enclosed instructions. Light output depreciation for LED products (within industry standard limits) is considered as normal and therefore not covered by this warranty. This warranty does not cover change in color temperature. Satisfactory records are kept about the working history which are available for inspection by Prado Europe BV. A Prado Europe BV representative has access to defective products. If there is any doubt surrounding the products or other components, the representative has the right to invite representatives from other manufacturers to assess the lighting systems. The costs of labor for the installation or dismantling of the products are not covered by the warranty.
Terms and conditions of warranty
1. Limited warranty
This warranty only applies to lighting products of the prado brand which have been sold by Prado Europe BV on the European continent (hereinafter referred to as the 'product' or the 'products'). The warranty only applies with respect to the party buying the products directly from Prado Europe BV (hereinafter referred to as the 'purchaser'). Prado Europe BV guarantees that every product is free of any defects in terms of materials and craftsmanship. The aforementioned warranty is valid for the period specified in the warranty policy which is current for the products to which reference is made in your contract of sale. If a product does not work in compliance with the warranty, Prado Europe BV will ensure free repair or replacement of the defective product, at the discretion of Prado Europe BV, with due observance of the applicable warranty policy and the terms and conditions of the limited warranty described below.
2. Terms and conditions
Only the original purchaser is entitled to the warranty of Prado Europe BV. If a product covered by this warranty is returned by the original purchaser in compliance with the provisions specified under 3 ('Claims made under the warranty') and within the appropriate warranty period specified in the warranty policy and Prado Europe BV, after inspection, establishes to its own satisfaction that the product in question does not fall under terms of the warranty, Prado Europe BV, at its own discretion, shall repair or replace the product or the defective component or refund the purchase price to the original purchaser. For the sake of clarity, 'repair or replacement of the product or the defective component' does not involve removal or reinstallation work or costs or expenses associated with this work, including, but not limited to, the cost of labor, transport costs, installation costs, expenditures, damages or any other financial obligation that is in any manner related to the defect in the goods and materials or any possible consequence thereof. Any other liability that is imposed by mandatory law shall, to the extent permitted by such mandatory law, be limited to the amount covered by our insurance. Only if we have not completed the remedy within a reasonable time, the customer may require an appropriate reduction of the price. The customer is never entitled to have the contract rescinded. Should Prado Europe BV decide to replace the product but is not able to do so because it is no longer manufactured or available, Prado Europe BV can choose to refund the money to the purchaser or replace the product with a similar product (which may have minor differences in design and product specifications). No single agent, distributor or dealer is authorised to amend, change or extend the terms and conditions of the warranty on behalf of Prado Europe BV. This warranty applies exclusively when the product is properly connected and installed and works within electrical values, the operational range and the environmental requirements which are specified in the specifications, implementation guidelines, IEC standards or any other document supplied with the product. Products should always be installed in compliance with any applicable (local) legislation and in an environment free of any vapours that can be of influence on the functionality of the LED (for example toxic vapours). If it has been established that a product is defective or does not work in conformity with the product specifications, the purchaser must notify Prado Europe BV of this in writing within the delays mentioned in the general terms and conditions. Proof of correct installation by means of pictures, video or other reasonable means and/or the return of defective products for further analysis is to be organized by the authorized distributor upon simple request from Prado Europe BV. Prado Europe BV will facilitate the technical solution to the problems. Products sold by Prado Europe BV from third parties are not covered by this warranty, except insofar as specified under 5 ('Restrictions and conditions'). This warranty does not apply with respect to damage or non-functioning as a result of force majeure or improper use, misuse, abnormal use or use which is contrary to the applicable standards, codes or instructions for use, including, but not limited to, those which have been enshrined in the most recent electrical and/or safety and industry standards for the region(s) in question. This warranty is annulled if repairs or modifications are made to the product by someone who has not been authorised to do so by Prado Europe BV in writing. The production date must be clearly legible on the product. Prado Europe BV reserves the right to take the final decision on the validity of a claim under the terms of the warranty. If a request is made by Prado Europe BV to this effect, non-compliant or defective products become the property of Prado Europe BV as soon as they have been replaced.
3. Claims under the terms of the warranty
All warranty periods specified only apply if a prado representative is given access to the product or system in order to verify the non-conformity. Claims made under the terms of the warranty must be reported to and submitted to the local prado office within 7 days of the defect being discovered, mentioning the following information as a minimum (additional information may also be requested):
- Particulars with respect to the defective products, and for system warranties, also particulars regarding the other components used;
- Date of installation and invoice;
- Detailed description of the problem, the number and percentage of defects, date code defect;
- Uses, burn times and number of switching cycles.
In the event of a valid claim under the terms of the warranty, Prado Europe BV will take responsibility for the costs of transport. Prado Europe BV can charge the client with respect to returned products which are deemed to be non-defective or non-compliant together with the associated transport, testing and administrative costs.
4. No implicit or other guarantees
The guarantee and remedies contained within this warranty are the only guarantees that Prado Europe BV issues with respect to the products and are issued instead of all other explicit or implicit guarantees, including, but not limited to, guarantees of saleability or suitability for a specific purpose, these guarantees being hereby rejected. These terms and conditions describe the only liability and obligation on the part of Prado Europe BV vis-à-vis the purchaser and the only and exclusive remedy for the purchaser with respect to products supplied to the purchaser by Prado Europe BV which are defective or non-compliant, regardless of whether the claim for compensation is based on a non-explicit guarantee specified in these terms and conditions, unlawful act, agreement or other legal concept, even if Prado Europe BV has been notified or made aware of such defects.
5. Restrictions and conditions
This is a limited warranty which, amongst other things, excludes the installation and provision of access to the products (scaffolding, lifts, etc.) and special, occasional and consequential damage (such as loss of turnover/profit, material damage or other costs not previously specified) and which is additionally defined by the restrictions and conditions which are described in the relevant warranty policy and these terms and conditions. On request, access to the defective product or system of the defective application must be granted to prado representatives so that the non-conformity can be verified. Prado Europe BV cannot be made liable for the power-supply conditions, including supply peaks, overcurrent and undercurrent and provisions to control the ripple voltage which fall outside the specified limits for the products and outside the limits defined by the relevant supply standards (e.g. EN 50160). For products sold by Prado Europe BV to the purchaser, but which are not provided with the prado name or sub-brands, Prado Europe BV does not give any explicit or implicit guarantee, including, but not limited to, the guarantee of saleability or suitability for a specific purpose; however, if requested, Prado Europe BV will make the manufacturer's warranties for the product available to the purchaser, but only insofar as this is permitted by law and relevant agreements.
